Public offer contract

1. General Provisions
1.1. This offer is an official proposal from “leskizzo.com” (hereinafter referred to as the "Seller") to conclude a Purchase Agreement for goods by remote means, i.e., via the online store (hereinafter referred to as the "Agreement"), and posts a Public Offer (proposal) on the Seller's website at https://leskizzo.com (hereinafter referred to as the "Website").
1.2. The public offer agreement is open, meaning that according to Articles 633 and 641 of the Civil Code of Ukraine, its terms are identical for all Buyers regardless of their status (individual, legal entity, individual entrepreneur). By fully agreeing to the Agreement, the Buyer accepts the terms and conditions of ordering, payment, and delivery of the goods by the Seller, as well as the liability for improper orders and for failure to comply with the terms of this Agreement.
1.3. The moment the Buyer fully and unconditionally accepts the Seller's offer (acceptance) to conclude an electronic purchase agreement is considered to be the fact of payment by the Buyer for the order upon clicking the "Buy" button, thereby agreeing to purchase the Seller's available goods under the terms of this Agreement, within the time frame and at the prices specified on the Seller's Website.

2. Definitions and Terms
2.1. For the purposes of this offer, unless the context requires otherwise, the following terms have the meanings specified below:

  • Acceptance – the Buyer’s full and unconditional consent to the Seller’s offer to purchase the goods displayed on the Website by adding them to the virtual shopping cart and submitting the order.

  • Public Offer Agreement – a public agreement, the template of which is published on the Website, mandatory for the Seller, containing an offer to purchase the goods displayed on the Website, addressed to an indefinite number of persons, including Buyers.

  • Goods – the goods offered for sale and/or available for sale remotely on the Website.

  • Online Store – a set of interconnected web pages on the Internet at https://leskizzo.com/ in accordance with the Law of Ukraine “On Electronic Commerce,” serving as a means of presenting or selling goods, services, or works via electronic transactions.

  • Buyer – any legally capable person who, following the procedures outlined in this Agreement, voluntarily and fully accepts (accepts) all of its terms without exception and purchases the goods and/or services offered for sale remotely in the Online Store.

  • Order – the selection of specific items from the list of goods presented on the Website, chosen by the Buyer during the order placement process and paid for accordingly.

  • Working Day – any day excluding weekends and any public or non-working holidays established by the applicable legislation of Ukraine.

2.2. All other terms not specifically defined in this Agreement shall be interpreted in their literal grammatical sense based on the provisions of the applicable legislation of Ukraine, commercial practices, as well as the purpose and subject matter of this Agreement.

3. Subject of the Agreement
3.1. The Seller undertakes to transfer ownership of the Goods to the Buyer, and the Buyer undertakes to pay for and accept the Goods under the terms of this Agreement. This Agreement governs the purchase of goods in the Online Store, including:

  • Voluntary selection of goods by the Buyer in the Online Store;

  • Independent placement of orders by the Buyer in the Online Store;

  • Payment by the Buyer for orders placed in the Online Store;

  • Processing and delivery of orders to the Buyer under the terms of this Agreement.

4. Order Placement Procedure
4.1. The Buyer has the right to place an order for any goods available on the Online Store’s Website.
4.2. Each item may be included in the order in any quantity.
4.3. If goods are unavailable in stock, the company must notify the Buyer (by phone or email).
4.4. If goods are unavailable, the Buyer has the right to replace them with similar/other items, refuse the goods, or cancel the order.

5. Order Payment Procedure
5.1. Payment for goods is made either in UAH or in EUR currency depending on the method he chooses. The Buyer can pay for ordered goods as follows:
5.1.1. Online using a bank payment card on the Website.
5.1.2. By transferring the corresponding amount to the Seller’s current account as per the bank details specified in the payment invoice provided/sent to the Buyer by the Seller.
5.3. If payment is not received, the Online Store reserves the right to cancel the order.

6. Order Delivery Terms
6.1. Delivery of goods purchased in the Online Store is made to the warehouses of transport companies such as Nova Poshta and Ukrposhta, Fedex, TNT, DHL, where the orders are issued the Buyer.

6.1.1. Delivery via Nova Poshta (currently, delivery of orders is carried out to functioning Nova Poshta branches in safe regions of Ukraine or to the specified address). Delivery time is 3-5 days.
6.1.2. Delivery via Ukrposhta (currently, delivery of orders is carried out to functioning Ukrposhta branches in safe regions of Ukraine or to the specified address). Delivery time is 3-6 days.

6.1.3. Delivery via DHL, TNT, Fedex (currently, delivery of orders is carried out to functioning Nova Poshta branches in safe regions of Ukraine or to the specified address). Delivery time is 5-10 days.

6.2. Delivery of goods via transport companies within Ukraine is paid for by the Buyer according to the company's tariffs.

6.2. Delivery of goods via transport companies outside of Ukraine is included in the order. Local taxes and import duties are not included in the price.

6.3. Along with the order, the Buyer is provided with a receipt or invoice in accordance with the legislation of Ukraine.

7. Rights and Obligations of the Parties
7.1. The Seller has the right to:

  • Unilaterally suspend the provision of services under this Agreement in the event of a breach of the Agreement by the Buyer.

7.2. The Buyer is obliged to:

  • Timely pay for and accept the order under the terms of this Agreement.

7.3. The Buyer has the right to:

  • Place an order in the Online Store;

  • Conclude an electronic agreement;

  • Demand the Seller’s compliance with the terms of this Agreement.

8. Liability of the Parties
8.1. The parties are responsible for non-fulfillment or improper fulfillment of the terms of this Agreement in accordance with the procedure established by this Agreement and the applicable legislation of Ukraine.
8.2. The Seller is not liable for:

  • Slight discrepancies in the color palette of the goods, which may differ from the original due solely to the color rendering of certain computer monitor models.

  • The content and accuracy of the information provided by the Buyer when placing an order.

  • Delays or disruptions in service provision (order processing and delivery) caused by reasons beyond its control.

  • Unauthorized illegal actions committed by the Buyer using access to the Internet.

  • The Buyer’s transfer of their network identifiers—IP address, MAC address, login, and password—to third parties.

8.3. The Seller does not store the Buyer’s bank account details and is therefore not responsible for their disclosure.
8.4. In the event of force majeure circumstances, the parties are exempt from fulfilling the terms of this Agreement. Force majeure circumstances for this Agreement include extraordinary, unforeseen events that prevent or objectively hinder the execution of this Agreement and could not have been foreseen or avoided by reasonable means.
8.5. Any claim or complaint from the Buyer must be submitted in writing. The Seller will take all necessary measures to resolve the claim/complaint if it is justified and prepared in accordance with the current legislation of Ukraine.
8.6. The parties will make every effort to resolve any disputes solely through negotiations.

9. Return Policy for Goods of Proper Quality
9.1. Returns of goods to the Online Store are carried out in accordance with the current legislation of Ukraine.
9.2. The cost of returning goods to the Online Store is borne by the Buyer.
9.3. When the Buyer returns goods of proper quality, the Online Store refunds the amount paid for the goods upon receipt of the return within 1 to 5 business days.

10. Other Conditions
10.1. The Online Store reserves the right to unilaterally amend this Agreement, provided it is published in advance on the Website at https://leskizzo.com.
10.2. The Online Store is designed to facilitate the remote sale of goods via the Internet.
10.3. The Buyer is responsible for the accuracy of the information provided when placing an order. By accepting the Agreement (placing an order and paying for the goods), the Buyer consents to the collection, processing, storage, and use of their personal data as defined by the Law of Ukraine "On Personal Data Protection."
10.4. Payment by the Buyer for an order placed in the Online Store signifies full acceptance of the terms of the purchase agreement (public offer).
10.5. The effective date of the electronic agreement between the parties is the date of acceptance of the terms under Article 11 of the Law of Ukraine "On Electronic Commerce."
10.6. Use of the Online Store’s resources for previewing goods and placing orders is free of charge for the Buyer.
10.7. The information provided by the Buyer is confidential. The Online Store uses the Buyer’s information solely for processing the order, sending notifications to the Buyer, delivering goods, and conducting settlements.

11. Term of the Agreement
11.1. The electronic agreement is deemed concluded from the moment the person who sent the proposal to conclude such an agreement receives a response about its acceptance, in accordance with part six of Article 11 of the Law of Ukraine "On Electronic Commerce."
11.2. This Agreement may be terminated before its expiration by mutual consent of the parties before the actual delivery of the goods by refunding the payment.
11.3. The parties have the right to unilaterally terminate this Agreement in the event of non-compliance by one of the parties with its terms or in cases provided for by the current legislation of Ukraine.
